Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and Show Studio LLC, a limited liability company doing business as Show Studio ("Show Studio", "we", "us").

By signing up or signing in, you agree to these Terms and to our Privacy Policy. That is how you accept this agreement. If you do not agree, do not create an account and do not use the service.

Our Acceptable Use and Seller Terms also apply to you and are part of this agreement. If you sell in the marketplace, the seller terms in that document apply in full.

If you are agreeing on behalf of a school, district, band program, or other organization, you confirm you have the authority to bind that organization, and "you" means both you and that organization.

2. What Show Studio is

Show Studio is a platform for designing, sharing, teaching, and watching marching band drill. Depending on your plan and role, you can design shows, build rosters, create pictures and formations, upload artwork and uniforms, publish work to the community, teach through classrooms, message other users, use an AI assistant, and buy or sell work in the marketplace.

We are always improving the product. Features may be added, changed, or removed over time.

3. Eligibility

You must be at least 13 years old to use Show Studio. If you are under 13, you may not create an account or use the service.

If you are under the age of majority where you live, you may use Show Studio only with the involvement and consent of a parent, guardian, or teacher who agrees to these Terms on your behalf.

Schools and teachers are responsible for obtaining any consent required for their students. If you bring students into Show Studio through the Classroom feature, you confirm that you have the authority to do so and that you have obtained any parental, guardian, school, or district consent required by your institution's policies and by applicable law. You are responsible for your students' use of the service within your class.

4. Your account

  • You must give accurate information when you sign up, and keep it current.
  • You are responsible for everything that happens under your account.
  • Keep your credentials secure. Do not share your account or let someone else use it.
  • Tell us immediately at support@show.studio if you believe your account has been accessed without your permission.
  • One person, one account, unless we agree otherwise in writing. Do not create an account to evade a suspension or ban.

We may refuse, suspend, or close an account at our discretion, as described in section 11.

5. Plans, billing, and cancellation

Free and paid plans

Show Studio offers a free plan and one or more paid plans. What each plan includes, and what it costs, is described on our plans page. Plan contents and prices can change; we will give you notice before a change affects an existing subscription, and any price change takes effect at your next renewal.

Billing

  • Paid plans are billed through Stripe on a recurring basis, monthly or annually depending on the plan you choose.
  • By starting a paid plan, you authorize us and Stripe to charge your payment method on each renewal date until you cancel.
  • Prices are exclusive of taxes unless stated. You are responsible for any applicable taxes.
  • If a payment fails, we may retry it and may suspend or downgrade paid features until payment succeeds.

Renewal and cancellation

  • Subscriptions renew automatically at the end of each billing period unless you cancel.
  • You can cancel at any time from your account settings.
  • Cancellation takes effect at the end of the current billing period. You keep paid access until then, and you are not charged again.
  • Changing plans (upgrade or downgrade) takes effect as described at the point of change. Unless stated otherwise, downgrades take effect at the end of the current period.

Refunds

Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods, unused features, or time remaining after a cancellation. If something goes wrong on our side, contact support@show.studio and we will make it right where we reasonably can.

Points and wallet

Show Studio includes a points or wallet balance used for certain in-app features. Points have no cash value, are not a stored-value or gift card product, cannot be redeemed for money, and are not transferable except where the product explicitly allows it. Unused points may expire as described in the app. We may adjust points balances to correct errors, reverse fraudulent activity, or enforce these Terms.

6. Your content and ownership

You own your content

You keep ownership of everything you create or upload to Show Studio: your drills, shows, rosters, pictures, formations, artwork, uniforms, notes, and messages. We do not claim ownership of it.

The license you give us

To run the service, we need permission to handle your content. You grant Show Studio a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, reformat, display, and perform your content, solely for the purposes of:

  • Operating, providing, and improving the service.
  • Showing your content to you and to the people and audiences you choose to share or publish it to.
  • Making the technical copies needed for backup, caching, rendering, and delivery.
  • Promoting the service, but only using content you have made public, and only where you have not opted out.

This license lasts as long as your content is on the service. It ends when you delete your content, except for copies already distributed to others (for example, work someone purchased in the marketplace) and for reasonable backup copies that age out on our normal schedule.

Your promise about your content

You represent and warrant that:

  • You own your content, or you have all the rights and permissions needed to upload it and to grant the license above.
  • Your content does not infringe anyone's copyright, trademark, publicity, privacy, or other rights.
  • Your content does not violate any law or these Terms.

You are responsible for the content you upload and for having the rights to use it.

Our content

The Show Studio software, design, branding, and any content we provide are owned by Show Studio LLC or our licensors and are protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the service as intended. You may not copy, modify, reverse engineer, resell, or create derivative works from the service, except where that restriction is prohibited by law.

Feedback

If you send us ideas or suggestions about the product, we may use them freely without obligation to you.

7. Rules of use and intellectual property

You agree to use Show Studio lawfully and responsibly. In particular:

  • You must comply with all applicable laws and regulations in your use of the service.
  • You must not upload, share, sell, or otherwise use content that you do not own or do not have the rights to use. This includes copyrighted music, arrangements, artwork, logos, photographs, fonts, video, and drill written by someone else.
  • You are responsible for your own conduct on the platform, including what you post, what you send in messages, how you behave toward other users, and what you list in the marketplace.
  • You must not harass, threaten, impersonate, or abuse other users.
  • You must not upload malware, attempt to gain unauthorized access to the service or to other accounts, disrupt or overload our systems, scrape the service, or circumvent plan limits, rate limits, paywalls, or security controls.

Violating these rules can result in content removal, loss of features, suspension, or a permanent ban, at our discretion and without refund.

Copyright complaints

If you believe content on Show Studio infringes your copyright, email support@show.studio with: a description of the work you say is infringed, a link to the content on Show Studio, your contact information, a statement that you have a good faith belief the use is unauthorized, a statement that your notice is accurate and that you are the rights holder or authorized to act for them, and your signature (physical or electronic).

We will review complete notices, remove or disable infringing content where appropriate, and terminate repeat infringers.

8. Marketplace

Show Studio operates a marketplace where users can buy and sell drill and related work.

  • When you buy, you are buying from the seller, not from Show Studio. We provide the platform and handle payment through Stripe.
  • When you sell, you must own or have the rights to everything you list, describe it accurately, and follow the seller terms.
  • Fees, payouts, refunds, and chargebacks are governed by the Marketplace Seller Terms in our Acceptable Use and Seller Terms document, which is part of this agreement.

We are not a party to the transaction between buyer and seller, and we are not responsible for the quality, legality, or fitness of listed work. We may remove listings, hold or reverse payouts, and suspend sellers as described in the seller terms.

9. The AI assistant

Show Studio includes an AI assistant powered by a third-party AI service.

  • Assistant output can be inaccurate, incomplete, or unsuitable. Treat it as a starting point, not as advice or a finished product. Always review it before you use it.
  • You are responsible for how you use the output, including checking that it is correct and that using it does not infringe anyone's rights or break any law.
  • Do not use the assistant to produce or facilitate anything prohibited by these Terms or by our Acceptable Use policy.
  • What you send to the assistant is processed by a third-party AI service. Do not send confidential material or other people's personal information. See our Privacy Policy.
  • Assistant usage may be subject to plan limits, rate limits, or points consumption. We may change these limits.
  • We do not warrant that assistant output is original, and identical or similar output may be generated for other users.

10. Availability and changes to the service

We work hard to keep Show Studio available and fast, but we do not promise uninterrupted service. We may modify, suspend, or discontinue features, and we may perform maintenance that makes the service temporarily unavailable.

If we discontinue the service entirely, we will give reasonable notice and a chance to export your work.

11. Suspension and termination

You can leave at any time

You may stop using Show Studio and close your account at any time. Cancellation of a paid plan works as described in section 5.

We can suspend or terminate

We may suspend or terminate your access, remove your content, cancel listings, withhold payouts, or permanently ban you if:

  • You violate these Terms, the Acceptable Use policy, or the seller terms.
  • You break the law or use the service unlawfully.
  • You upload or sell content you do not have the rights to.
  • Your conduct harms other users, our partners, or the service.
  • We are required to do so by law.
  • Your payments fail or are reversed.

Where reasonable and where it does not create risk to others or to us, we will give notice and an opportunity to fix the problem. For serious or repeated violations, or where harm is ongoing, we may act immediately and without notice.

Termination for violation does not entitle you to a refund.

After termination

Your license to use the service ends. We may delete your content after a reasonable period. Sections that by their nature should survive do survive, including sections 6 (ownership), 7 (rules and IP), 12 (disclaimers), 13 (limitation of liability), 14 (indemnification), and 17 (governing law).

12. Disclaimers

The service is provided "as is" and "as available".

To the maximum extent permitted by law, Show Studio LLC and its members, managers, employees, and suppliers disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

  • The service will be uninterrupted, timely, secure, or error free.
  • Defects will be corrected.
  • The service or its content is accurate, complete, or reliable.
  • Content created by other users, or generated by the AI assistant, is accurate, lawful, or free of third-party rights.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

13. Limitation of liability

Show Studio LLC is a limited liability company. Its members, managers, and employees are not personally liable for the obligations of the company.

To the maximum extent permitted by law:

  • Show Studio LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption, whether based in contract, tort, negligence, strict liability, or any other theory, and whether or not we were advised of the possibility of those damages.
  • Our total aggregate liability to you for all claims relating to the service will not exceed the greater of (a) the total amount you paid Show Studio in the twelve months before the event giving rise to the claim, or (b) one hundred United States dollars (US$100).

These limits apply even if a limited remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you. In those places, our liability is limited to the smallest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Show Studio LLC and its members, managers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the service.
  • Your content, including any claim that it infringes or misappropriates someone's rights.
  • Anything you list, sell, or buy in the marketplace.
  • Your violation of these Terms or of any law.
  • Your violation of anyone else's rights.
  • If you are a teacher or school, your students' use of the service and any failure to obtain required consent.

We may take over the defense of any matter subject to indemnification, at your expense, and you will cooperate with us.

15. Third-party services

Show Studio integrates third-party services, including Stripe for payments, Microsoft Azure for hosting and storage, third-party sign-in providers, Azure OpenAI for the AI assistant, and Azure Translator for translation. Your use of those services may also be governed by their own terms. We are not responsible for third-party services or for content on sites we link to.

16. Changes to these terms

We may update these Terms as the product and the law change. When we do, we will update the "Last updated" date at the top.

If a change is significant, we will give you notice in the app or by email before it takes effect. Continuing to use Show Studio after the change takes effect means you accept the updated Terms. If you do not accept them, stop using the service and close your account.

17. Governing law and disputes

These Terms are governed by the laws of [Governing law: STATE], without regard to its conflict of laws rules.

You and Show Studio agree that any dispute arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in [Venue: COUNTY, STATE], and you consent to the personal jurisdiction of those courts.

If you are a consumer, nothing in this section deprives you of the protection of mandatory consumer laws in your country of residence.

18. General

  • Entire agreement. These Terms, the Privacy Policy, and the Acceptable Use and Seller Terms are the entire agreement between you and Show Studio about the service.
  • Severability. If any provision is found unenforceable, the rest stays in force and the unenforceable provision is limited to the minimum extent necessary.
  • No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Notices. We may send notices to the email address on your account. You can reach us at support@show.studio.
